February 12, 2026 — Leads & Copy — ZEUS NORTH AMERICA MINING CORP. (CSE:ZEUS) (OTCQB:ZUUZF) (FRANKFURT:O92) has announced a repricing of its proposed non-brokered private placement. The company aims to raise up to $2,000,000 through the sale of up to 20,000,000 units at $0.10 per unit, according to the news release.
Each unit will consist of one common share and one-half of a common share purchase warrant. Each whole warrant will allow the holder to buy an additional common share at $0.15 per share for two years.
Finder’s fees may be paid on any part of the placement, which needs regulatory and exchange approval.
The company will use the proceeds for exploration on its Idaho and Nevada copper and silver projects, including the Cuddy Mountain Project, and for general working capital.
The placement’s completion depends on approvals and acceptance by the Canadian Securities Exchange. All securities from the placement will have resale restrictions for four months and one day, following securities laws.
Following the placement, the company plans a consolidation of its common share capital at a ratio of 2 pre-consolidation shares to 1 post-consolidation share.
Before the consolidation, and assuming the placement’s completion, the company expects to have 87,452,498 shares outstanding. After the consolidation, it will have approximately 43,726,249 shares outstanding.
No fractional shares will be issued. Holdings that would result in a fractional share will be rounded to the nearest whole number, with no cash paid for fractional shares. The consolidation will reduce the number of shares held by all shareholders proportionately and will not affect any shareholder’s percentage ownership in the company other than by the minimal effect of the aforementioned elimination of fractional shares.
The company will release more information about the consolidation’s effective date when available. The placement’s completion is not conditional on the consolidation, and there is no guarantee the consolidation will occur. The consolidation requires regulatory approval.
