Western Copper and Gold (TSX:WRN) Announces C$50 Million Bought Deal Financing

VANCOUVER, BC — February 11, 2026 — Leads & Copy — Western Copper and Gold Corporation has announced an agreement with Stifel Canada, acting for itself and a syndicate of underwriters, for a bought deal purchase of 12,048,400 common shares of the Company. The shares will be priced at C$4.15 each, resulting in gross proceeds of approximately C$50,000,860 for the Company.

Under the terms of the agreement, the underwriters have the option to purchase up to an additional 1,807,260 common shares within 30 days of the offering’s closing. If the option is fully exercised, the gross proceeds to the company would increase by C$7,500,129, bringing the total gross proceeds of the offering to approximately C$57,500,989.

The company intends to allocate the net proceeds from the offering toward advancing permitting and engineering activities at its Casino Project in the Yukon. The remaining funds will be used for general corporate and working capital purposes.

The offering will be conducted through a short form prospectus filed in all Canadian provinces, excluding Québec, and in the United States via a registration statement on Form F-10 under the Canada/U.S. multi-jurisdictional disclosure system. These documents are subject to completion and amendment and contain important information about the offering.

The registration statement has been filed with the United States Securities and Exchange Commission but is not yet effective. The common shares may not be sold, nor offers to buy be accepted, until the registration statement becomes effective.
