VANCOUVER, British Columbia — January 7, 2026 — Leads & Copy —
VR Resources Ltd. (TSXV: VRR) has announced updated terms for its brokered private placement with Centurion One Capital Corp., the lead agent and sole bookrunner for the offering.
The company also announced a concurrent share consolidation, previously detailed in news releases on October 20, 2025, and December 22, 2025.
VR Resources expects to raise up to $500,000 through the sale of units under the revised terms. Each unit will be offered at $0.16 and include one common share and one common share purchase warrant. Each warrant allows the holder to acquire an additional common share at $0.20 for 36 months from the issuance date.
The offering is conditional upon completing a consolidation of outstanding common shares on a ten-to-one basis, subject to TSX Venture Exchange approval. Post-consolidation, the company anticipates having approximately 13,344,346 shares outstanding, excluding those issued for the offering, prior to rounding fractional shares. Currently, the company has 133,443,467 shares issued and outstanding.
The consolidation is expected around January 15, 2026. The issue price, warrant exercise price, and securities issuable under the offering are disclosed on a post-consolidation basis.
The Lead Agent will receive a commission of 8% of the gross cash proceeds from the unit sales, along with non-transferable broker warrants equaling 8% of the total units issued. The broker warrants can be exercised into units with identical terms as the offering and will expire three years from the closing date.
The offering is expected to close around January 16, 2026, subject to necessary approvals, including that of the Exchange. The securities issued under the offering will have a four-month hold period and one day from the closing date.
The units will be offered via private placement in British Columbia, Alberta, and Ontario. They will also be offered in the United States under an exemption from the U.S. Securities Act of 1933, and in other jurisdictions as agreed upon by the company and the Lead Agent, provided no prospectus filing or registration obligation arises.
This announcement does not constitute an offer to sell or a solicitation of an offer to buy securities in the United States. The securities have not been and will not be registered under the U.S. Securities Act or any state securities laws.
