Volt Carbon Technologies (TSXV:VCT) Announces Private Placement Financing

Calgary, Alberta — December 23, 2025 — Leads & Copy — Volt Carbon Technologies Inc. plans to complete a non-brokered private placement financing of up to 5,000,000 units at C$0.035 per unit, aiming to raise up to C$175,000.

The offering will consist of up to 5,000,000 units at C$0.035 each, potentially generating C$175,000. Each unit includes one common share of the company and one common share purchase warrant. The warrant allows the holder to buy one additional common share at C$0.05 per share for 24 months from the issuance date. All securities issued under this offering will be subject to a four-month and one-day holding period. The company does not anticipate paying any finder’s fees, commissions, agent options, or other compensation related to the private placement.

Volt Carbon intends to allocate the offering proceeds to support intellectual property development, enhance battery and mobile mineral separation technologies, and for general working capital purposes.

The closing of the offering is contingent upon standard conditions and regulatory approvals, including the approval of the TSX Venture Exchange. The company expects the offering to close in approximately 30 business days. No insiders plan to participate in the offering, and the offering will not create any new control persons.
