VIQ Solutions (TSXV:VQS) Announces Normal Course Issuer Bid

VIQ Solutions Inc. (TSXV: VQS) announced that the TSX Venture Exchange has accepted the company’s notice of its intention to conduct a normal course issuer bid (NCIB) for its common shares. To facilitate the NCIB, VIQ has entered into an issuer repurchase plan agreement with Beacon Securities Limited.

Under the notice, VIQ Solutions may purchase up to 3,467,243 shares, representing about 5% of outstanding shares as of Dec. 15, 2025, or about 7.6% of the public float, during the 12-month period starting Jan. 2, 2026, and ending Jan. 1, 2027. The company may end the purchases earlier or provide notice of termination. The number of shares purchased under the NCIB and the timing of those purchases will be determined by company management, in accordance with applicable law and TSXV rules.

Purchases of shares under the NCIB will be conducted through the TSXV and/or alternative Canadian trading systems at prevailing market prices, or by other means permitted by securities regulators, subject to required regulatory approvals. All shares purchased under the NCIB are to be cancelled or otherwise reserved as treasury shares. The broker will make purchases under the NCIB on behalf of VIQ from time to time.

To allow for share purchases under the NCIB during regulatory restrictions or self-imposed blackout periods, VIQ Solutions will enter into an automatic share purchase plan with the broker.

According to Mr. Brad Wells, Chair of the Board, the board believes that VIQ’s current share price does not adequately represent the underlying strength of the business, progress achieved, or the opportunity ahead. Wells said repurchases under the NCIB will provide an efficient mechanism to return value to shareholders while enhancing long-term shareholder equity.
