Ventripoint Diagnostics (TSXV:VPT) Closes Private Placement of $1,009,772

Toronto, Ontario — January 19, 2026 — Leads & Copy — Ventripoint Diagnostics Ltd. (TSXV:VPT) has announced the closing of a non-brokered private placement, raising gross proceeds of $1,009,772.

The offering, initially announced on December 30, 2025, involved the issuance of 10,097,720 units at a price of $0.10 per unit. Each unit includes one common share of the Corporation and one common share purchase warrant.

Directors and officers of Ventripoint participated in the private placement, investing an aggregate of $139,340, representing 13.8% of the total proceeds.

Each whole warrant entitles the holder to purchase one common share at $0.13 for 24 months from the closing of the offering. Ventripoint retains the right to accelerate the warrant expiry period with 30-day’s notice if the common shares trade at or above $0.26 for 10 consecutive days, including days with no trades.

The Corporation paid finder’s fees of $15,600 and issued finder’s warrants to purchase 156,000 shares. Each finder’s warrant can be exercised into one common share at CDN$0.13 per share for 24 months from the offering’s closing.

The offering qualifies as a related party transaction under TSXV Policy 5.9 and Multilateral Instrument 61-101 (“MI-61-101”), as insiders subscribed for 1,393,400 units on the same terms as arm’s length subscribers. Ventripoint relied on exemptions from valuation and minority shareholder approval requirements under sections 5.5(a) and (b) and 5.7(a) and (b) of MI 61-101. These exemptions apply because the Corporation is not listed on a specified market, the insiders’ participation does not exceed 25% of the Corporation’s market capitalization, and the transaction value is not more than $2,500,000. The Corporation did not file a material change report at least 21 days before closing, which it deemed reasonable to complete the transaction.

Ventripoint intends to use the proceeds from the offering to fund sales and marketing activities, add key personnel, and for general working capital.

All securities issued are subject to a hold period of four months plus one day from the closing date. The offering is subject to approval by the Exchange.

Ventripoint Diagnostics Ltd. specializes in applying AI to echocardiography. Its VMS+ products utilize proprietary knowledge-based reconstruction technology, providing cardiac measurements comparable to MRI. The company’s technology aims to offer cardiologists a cost-effective alternative for patient management. VMS+ is compatible with ultrasound systems from various vendors and has regulatory approvals in the U.S., Europe, and Canada.
