Toronto, Ontario — September 4, 2026 — Leads & Copy — Urbana Corporation (TSX: URB) (TSX: URB.A) (CSE: URB) (CSE: URB.A) announced today that the Toronto Stock Exchange has accepted its notice of intention to conduct a normal course issuer bid, allowing the company to repurchase up to 3,101,391 of its non-voting Class A shares. This represents 10% of the public float, in accordance with TSX rules.
Purchases under the bid are scheduled to begin on September 9, 2026, and will continue until the earlier of September 8, 2027, the completion of the targeted share purchases, or when Urbana provides notice of termination.
The share repurchases will be executed on the open market via the facilities of the TSX, the Canadian Securities Exchange, or other authorized Canadian trading systems. Caldwell Securities Ltd. has been appointed to manage all purchases on behalf of Urbana. The price per share will be the prevailing market price at the time of acquisition. Any Class A Shares bought back will be cancelled.
Urbana has established a daily purchase limit of 2,575 Class A Shares on the TSX. This limit is equivalent to 25% of the average daily volume over the six months preceding the notice of intention, which totals 10,301 shares. However, Urbana may execute one block purchase per calendar week that exceeds the daily limit, provided it meets specific criteria related to purchase price and volume as defined by TSX rules.
Under a previous normal course issuer bid approved by the TSX, Urbana had authorization to purchase up to 3,107,305 Class A Shares between September 9, 2025, and September 8, 2026. As of August 31, 2026, the company had repurchased 58,800 Class A shares under that program. The total number of issued and outstanding Class A shares as of the same date was 31,336,300, with a public float of 31,013,913 shares.
Urbana believes that the current market price of its Class A Shares can be attractive and that repurchasing these shares represents a sound use of corporate funds, potentially benefiting remaining shareholders.
