Toronto, Ontario — February 24, 2026 — Leads & Copy — Trojan Gold Inc. has announced a private placement financing to sell up to 3,000,000 flow-through units at CDN$0.10 each, potentially raising up to CDN$300,000.
The flow-through units (FT Units) will include one common share qualifying as a “flow-through share” under the Income Tax Act (Canada) and one-half of a common share purchase warrant (FT Warrant). Each whole FT Warrant allows the holder to buy one common share at CDN$0.15 for 24 months from the closing date.
The FT Warrants’ expiry date may be accelerated if the Common Shares’ closing price on the Canadian Securities Exchange reaches $0.20 or higher for five consecutive trading days after the Offering closes. The Company must then provide 30 days’ notice of acceleration.
Trojan Gold intends to use the proceeds from the FT Units to fund exploration activities at the Paulpic/Adair-Wascanna Properties and the Watershed Property.
