TNR Gold Corp. (TSXV:TNR) Grants Stock Options to Directors, Employees and Consultants

Vancouver, British Columbia — February 17, 2026 — Leads & Copy — TNR Gold Corp. (TSXV: TNR) has announced the grant of 4,900,000 stock options to its directors, employees, and consultants. The grant was made under the terms of the company’s Stock Option Plan.

The stock options have an exercise price of $0.165 per share. They will expire five years from the date of the grant and are subject to a four-month trading hold period.

TNR Gold Corp. aims to become a green energy metals royalty and gold company. Its business model focuses on creating supply chains for critical materials, including energy metals and gold.

The company’s portfolio includes exposure to various aspects of the mining cycle and partnerships with industry leaders, which could generate royalty cashflows.

Over the past thirty years, TNR has generated global exploration projects. The company’s expertise has led to the recognition of the Mariana Lithium Project and Los Azules Copper Project in Argentina, among others.

TNR holds a 1.5% NSR royalty on the Mariana Lithium Project in Argentina, with 0.15% held on behalf of a shareholder. Ganfeng Lithium’s subsidiary, Litio Minera Argentina (LMA), can repurchase 1.0% of the NSR royalty on the Mariana Project. TNR would receive CAN$900,000, and its shareholder would receive CAN$100,000 on the repurchase by LMA, resulting in TNR holding a 0.45% NSR royalty and its shareholder holding a 0.05% NSR royalty.

The Mariana Lithium Project, 100% owned by Ganfeng Lithium, has been approved by the Argentina provincial government of Salta for an environmental impact report. Ganfeng officially inaugurated Mariana Lithium’s start of production at a 20,000 tons-per-annum lithium chloride plant on February 12, 2025.

TNR Gold also holds a 0.4% NSR royalty on the Los Azules Copper Project, with 0.04% held on behalf of a shareholder. McEwen Mining is developing the Los Azules Copper Project.

TNR also holds a 7% NPR on the Batidero I and II properties of the Josemaria Project, being developed by the joint-venture between Lundin Mining and BHP.

TNR has exposure to gold through its 90% holding in the Shotgun Gold porphyry project in Alaska, near the Donlin Gold project being developed by Barrick Gold and Novagold Resources. The company is seeking a joint venture partnership with a major gold mining company for the Shotgun Gold Project and is actively engaging with interested parties.

TNR provides exposure to gold, copper, silver, and lithium through its holdings in Alaska (Shotgun Gold porphyry project) and royalty holdings in Argentina (Mariana Lithium project, Los Azules Copper Project, and the Batidero I & II properties of the Josemaria Project). The company is focused on generating in-demand projects, diversifying its markets, and building shareholder value.
