TMX Group (TSX:X) Announces TSX Acceptance of Normal Course Issuer Bid

TMX Group Limited (TSX: X) has received approval from the Toronto Stock Exchange (TSX) for its normal course issuer bid (NCIB), the company announced today.

The NCIB allows TMX Group to repurchase up to 2,800,000 of its common shares through regular purchases on the Toronto Stock Exchange. This represents about 1% of the 278,232,220 common shares outstanding as of February 20, 2026.

Under the terms, the maximum number of shares that can be bought on any single trading day on the TSX is 155,315. This figure represents 25% of the average daily trading volume recorded for the six months ending January 31, 2026, which was 621,261 shares. Exceptions may be made for block purchase scenarios.

Share repurchases can begin on February 27, 2026, and will end on February 26, 2027, or earlier if TMX Group completes its purchases before that date.

TMX Group will adhere to TSX requirements for all purchases, and the price paid for common shares will be the prevailing market price at the time of acquisition. All purchases will be conducted via the facilities of the TSX, and all repurchased shares will be cancelled. The company has not bought back any of its shares in the previous 12 months.

The company has also established a pre-defined plan with its designated broker. This plan facilitates the repurchase of common shares during periods when TMX Group would typically be inactive in the market. These periods include internal trading blackout periods and times when insider trading rules are in effect.

TMX Group believes that repurchasing common shares periodically at suitable prices is a sound use of available funds. The company views it as an appropriate way to return capital to its shareholders.
