Thunder Gold Corp. (TSXV:TGOL) Increases Size of Private Placement

Thunder Bay, Ontario — December 17, 2025 — Leads & Copy — Thunder Gold Corp. has increased the size of its non-brokered private placement due to investor demand. The private placement of flow-through units, initially announced on December 12, 2025, will now include up to 28,666,667 flow-through units at a price of $0.075 per unit, potentially raising gross proceeds of approximately C$2,150,000.

The proceeds from the private placement will be used to fund the ongoing exploration program at Thunder Gold’s Tower Mountain Gold Property and for other Canadian exploration expenses that qualify as flow-through mining expenditures under the Income Tax Act (Canada).

Each flow-through unit consists of one common share of the company and one-half of one common share purchase warrant. Each whole warrant can be exercised for an additional common share at an exercise price of $0.10 for 18 months from the date of issue.

The private placement is expected to close around December 19, 2025, pending approval from the TSX Venture Exchange. Securities issued through the private placement will be subject to a four-month hold period from the issuance date, in accordance with securities legislation and TSXV policies.

The company may pay finders’ fees to eligible finders, consisting of a cash fee of up to 6% of the gross proceeds raised under the private placement, as per TSXV policies.

The Tower Mountain Gold Property, wholly owned by Thunder Gold, spans 2,500 hectares and is located near Thunder Bay, Ontario. The property surrounds the largest exposed intrusive complex in the Shebandowan Greenstone Belt, where gold occurrences are often found within or near intrusive rocks. Gold at Tower Mountain is localized within altered rocks along the western contact of the intrusive center. Drilling has indicated anomalous gold extending over 500 meters from the intrusive contact along a 1,500-meter strike length, to depths exceeding 500 meters from the surface. The remaining perimeter shows similar geology, alteration, and geophysical responses.
