Tectonic Metals Inc. (TSXV:TECT)(OTCQB:TETOF) has announced an agreement with 3L Capital, BMO Capital Markets, and SCP Resource Finance LP, acting as co-lead agents and joint bookrunners, to conduct a brokered “best efforts” private placement offering. The offering aims to raise up to approximately C$40 million through the issuance of up to 18,605,000 common shares at a price of C$2.15 per share.
Tectonic Metals has granted the agents an option to increase the offering size by up to 15% of the common shares sold, which can be exercised up to 48 hours before the closing of the offering.
Tony Reda, President and CEO of Tectonic Metals, stated that the $40 million financing represents a transformative moment for the company and validates the quality and scale of the Flat Gold Project. The proceeds will be used to advance drilling across multiple intrusion targets, follow up on recently announced high-grade drill results, expand known mineralized zones, and continue systematic exploration and de-risking across the company’s 99,000-acre land package.
The net proceeds from the offering will be allocated to advancing the Flat Gold Project and for general corporate and working capital purposes.
The common shares will be offered on a private placement basis to accredited investors in Canada, investors in the United States under available exemptions from the U.S. Securities Act of 1933, and investors in certain offshore jurisdictions.
The common shares will be subject to a statutory hold period of four months and one day from the date of issuance, in accordance with Canadian securities laws. The offering is expected to close around February 24, 2026, subject to necessary approvals, including the approval of the TSX Venture Exchange.
The company has agreed to pay the agents a cash commission equal to 6.0% of the gross proceeds from the offering, including any exercise of the agents’ option, with the commission reduced to 2.0% on certain president’s list purchases.
Peter Kleespies, M.Sc., P.Geo., Vice President of Exploration, a Qualified Person in accordance with Canadian regulatory requirements set out in National Instrument 43-101, has reviewed, verified and approved Tectonic Metals’ disclosure of technical or scientific information in the press release.
