VANCOUVER, BC — December 19, 2025 — Leads & Copy — Tactical Resources Corp. has received the final order from the Supreme Court of British Columbia approving the plan of arrangement entered into with Plum Acquisition Corp. III, Plum III Amalco Corp., and Plum III Merger Corp. to carry out a business combination transaction.
The court order, received December 18, 2025, follows the approval of the Arrangement by Tactical Resources shareholders at a meeting held December 16, 2025. Approximately 99.979% of votes cast by shareholders were in favor of the special resolution approving the Arrangement.
Under the terms of the business combination agreement dated August 22, 2024, Plum will redomicile from the Cayman Islands and amalgamate with PubCo to form New PubCo. Immediately following, Amalco will amalgamate with Tactical, resulting in Tactical continuing as a wholly-owned subsidiary of New PubCo, which will be renamed “Tactical Resources Corp.”.
The parties have applied to list the common shares of New PubCo on the Nasdaq Stock Market, with the listing anticipated to occur in the first quarter of 2026. The listing is subject to the satisfaction of applicable requirements and receipt of necessary approvals.
Tactical Shares will be exchanged for New PubCo Common Shares pursuant to an exchange ratio to be determined at Closing. A portion of the New PubCo Common Shares issued to Shareholders will be subject to transfer restrictions for six months following Closing.
The transfer restrictions will affect between 80% and 85% of the New PubCo Common Shares and are intended to permit New PubCo to satisfy Nasdaq listing standards. The final percentage will be determined by Tactical’s Board of Directors and in accordance with the terms of the Business Combination Agreement.
Completion of the Arrangement is subject to customary closing conditions and approval for listing of the New PubCo Common Shares on Nasdaq. Subject to the satisfaction of conditions, the Arrangement is expected to be completed in the first quarter of 2026. Following completion, Tactical Shares will be delisted from the TSXV Venture Exchange, subject to final approval of the TSXV, and Tactical intends to apply to cease to be a reporting issuer in Canada.
