Syntheia Corp. (CSE:SYAI) Intends to Acquire Satcom for US$5.5M

Toronto, Ontario — January 12, 2026 — Leads & Copy — Syntheia Corp. has announced its intent to acquire Wunderlich Group LLC, also known as Satcom, in a transaction valued at US$5.5 million.

The acquisition, outlined in a non-binding letter of intent dated January 12, 2026, will see Syntheia Corp. acquire Satcom through a share purchase, pending tax, corporate, and securities law advice.

Under the proposed terms, Syntheia will provide US$5.5 million in consideration for Satcom, including US$1,450,000 in cash, US$2,220,000 in promissory notes, and US$1,830,000 in common shares of Syntheia. The share price will be determined by the volume-weighted average over a 90-day period, subject to CSE approval.

Satcom shareholders are also eligible for a performance earn-out of up to US$4,500,000, payable in cash, promissory notes, and common shares.

According to Tony Di Benedetto, CEO of Syntheia, this proposed acquisition is the second for the company, following the full integration of CCG acquisition.

The completion of the Definitive Agreement is contingent upon mutual due diligence investigations, required shareholder and regulatory approvals and any related financings. The company expects to provide further updates on the Proposed Transaction, any required shareholder and regulatory approvals, any related financings and the status of the Definitive Agreement in due course.

Syntheia will issue common shares for the Proposed Transaction, subject to applicable securities laws, CSE policies, and potential escrow, pooling, or stock restriction agreements. No finder’s fees will be paid by either party.

The Proposed Transaction depends on several conditions, including a Definitive Agreement, necessary approvals (including CSE approval), and satisfactory due diligence by both parties.
