Silver Viper Minerals (TSXV:VIPR) Closes Final Tranche of Private Placement, Raising $17 M

VANCOUVER, BC — December 22, 2025 — Leads & Copy — Silver Viper Minerals Corp. (TSXV: VIPR) (OTCQB: VIPRF) has closed the final tranche of its non-brokered private placement, raising a total of $17,000,000.

The final tranche consisted of 3,433,750 units of the company, issued at $0.80 per unit, resulting in gross proceeds of $2,747,000. The first tranche, closed on December 12, 2025, raised $14,253,000.

Each unit includes one common share of the company and one warrant. Each warrant allows the holder to acquire one share from the company at $1.20 per share for 24 months from the issue date. The shares and warrants are subject to a statutory hold period expiring on April 20, 2026.

The company may accelerate the warrant expiry date if its common share price exceeds C$1.40 for 20 consecutive trading days. Following such an event, Silver Viper can issue a press release to accelerate the expiry date, with the warrants expiring no sooner than 20 calendar days after the announcement.

The funds will support surface exploration, including mapping and sampling, for a future drill campaign at the La Virginia Gold-Silver Project in Mexico. A portion will also be allocated for working capital and general corporate purposes.

Silver Viper has agreed to pay finder’s fees to those who introduced purchasers to the offering. For the final tranche, Research Capital Corp. will receive $3,000, and Ventum Financial Corp. will receive $1,800. Total finder’s fees for the offering amount to $594,150, with $589,350 paid after the first tranche closed on December 12, 2025.

Company insiders subscribed for 250,000 units, constituting a related party transaction under Multilateral Instrument 61-101. The company is relying on exemptions from valuation and minority shareholder approval requirements, as the fair market value of insider participation does not exceed 25% of the company’s market capitalization.

Coneto Silver-Gold Project Update

Silver Viper is progressing towards completing its acquisition of 100% ownership of the Coneto Silver-Gold Project in Durango, Mexico, from Fresnillo plc and Orex Minerals Inc., as per the press release dated October 28, 2025. The acquisition is contingent upon finalizing definitive documentation and receiving necessary regulatory approvals, including TSXV approval.
