Santacruz Silver Mining (TSXV:SCZ) Grants Restricted Share Units to Director

Vancouver, British Columbia — January 5, 2026 — Leads & Copy — Santacruz Silver Mining Ltd. (TSXV: SCZ) has announced the grant of 39,000 restricted share units (RSUs) to a company director, according to the company’s Omnibus Equity Incentive Plan dated November 17, 2023.

The RSUs will vest in equal installments over three years, on each anniversary of the grant date. Each vested RSU can be redeemed for one common share of the company.

The granting of these RSUs is classified as a related party transaction under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (MI 61-101). Santacruz Silver Mining is relying on the exemptions outlined in sections 5.5(b) and 5.7(1)(a) of MI 61-101, which exempts them from needing a formal valuation and minority shareholder approval for granting RSUs to related parties.

Santacruz Silver Mining Ltd. is involved in operating, acquiring, exploring, and developing mineral properties across Latin America. Their Bolivian operations include the Bolivar, Porco, and Caballo Blanco mining complexes, the latter comprising the Tres Amigos and Colquechaquita mines.
