Rocker Doctor AI (CSE:AIDR) Announces Private Placement to Raise $3 Million

Vancouver, British Columbia — January 9, 2026 — Leads & Copy — Rocker Doctor AI Inc. (CSE: AIDR, OTC: AIRDF, Frankfurt: 939) has announced a non-brokered private placement to raise a minimum of approximately $3,000,000.

The company plans to issue a minimum of 4,285,715 units at a price of $0.70 per unit. Each unit will consist of one common share and one common share purchase warrant. Each warrant will allow the holder to purchase one common share at an exercise price of $0.85 per share for 12 months following the closing date.

The offering is being completed under the listed issuer financing exemption under Part 5A of National Instrument 45-106, available to purchasers in all Canadian provinces except Quebec. Units issued under this exemption will not be subject to a hold period, according to Canadian securities laws.

Upon closing, Rocket Doctor AI may pay a finder’s fee of up to 8% of the gross proceeds. The company intends to use the net proceeds for digital marketing and customer acquisition, operating and administrative expenses (including salaries), research and development, and general working capital.

The offering is scheduled to close around January 19, 2026, pending receipt of subscriptions for the minimum amount of $3,000,000 and all necessary approvals, including the approval of the Canadian Securities Exchange.
