VANCOUVER, British Columbia — January 5, 2026 — Leads & Copy —REV Exploration Corp. will increase its listed issuer financing exemption offering due to strong investor demand. The offering, initially announced on December 30, 2025, will be upsized by $300,000, bringing the gross proceeds from $2.5 million to $2.8 million.
The LIFE Offering will continue without a broker at a price of $0.40 per common share. The upsizing will lead to the issuance of up to an additional 750,000 common shares, potentially bringing the total to 7,000,000 common shares if fully subscribed. No warrants will be issued with this offering, and all other terms remain the same.
The LIFE Offering is conducted under Part 5A of National Instrument 45-106 – Prospectus Exemptions, available to Canadian residents, excluding those in Québec. Securities issued will not be subject to a statutory hold period, as per Canadian securities laws. REV Exploration has filed an amended offering document on SEDAR+ and its website. Prospective investors are advised to read this document before making any investment decisions.
The upsized LIFE Offering is subject to the approval of the TSX Venture Exchange and other regulatory bodies. It is expected to close around January 21, 2026, or another date determined by the company.
A previously announced $3.0 million non-brokered hard-dollar private placement, led by Eric Sprott, remains unchanged. Upon completion of both financings, the Company anticipates raising gross proceeds of up to $5.8 million.
The proceeds from the LIFE Offering and the Private Placement will be used to advance the Company’s Aden Dome Natural Hydrogen asset along the Alberta–Montana border and for general corporate purposes. The Company says it is encouraged by the strong demand and remains enthusiastic about advancing its exploration portfolio and executing on its strategic objectives in 2026.
