Replenish Nutrients (CSE:ERTH) Announces $3 Million Private Placement to Boost Fertilizer Business

OKOTOKS, AB — January 19, 2026 — Leads & Copy —

Replenish Nutrients Holding Corp. (CSE: ERTH) (OTC: VVIVF) has announced a non-brokered private placement aiming to raise up to $3 million. The funds are earmarked to boost the company’s regenerative fertilizer business.

The private placement will offer units to qualified existing and new investors at $0.12 per unit. Each unit comprises one common share and one common share purchase warrant. The warrants allow the holder to buy one common share at $0.18 per share within 24 months of the issue date. The offering is expected to close around February 2, 2026, and is subject to regulatory approvals, including approval from the Canadian Securities Exchange.

Company directors and officers may also subscribe for units in the offering, which would be considered “related party transactions” under Multilateral Instrument 61-101. The company will seek exemptions from minority shareholder approval requirements, as the value of securities issued to insiders will not exceed 25% of the company’s market capitalization.

The proceeds from the offering will support working capital needs for licensing deals with MJ Ag Solutions (MJ Ag) and Farmers Union Enterprises (FUE), working capital for Beiseker, and general corporate purposes like strategic marketing and investor relations.

Replenish has secured a $1.95 million strategic investment from Sorbie Bornholm LP (“Sorbie”), an institutional investor, as part of the offering. The units related to this investment will be governed by a sharing agreement, providing Replenish with monthly payments of $81,250 over 24 months, starting four months after the offering closes. These payments will be adjusted based on the difference between a benchmark price of $0.1730 and the 20-day volume weighted average price (VWAP).

The company may receive more than the $1.95 million if the monthly 20-day VWAP share price stays above the Benchmark Price. There is no limit to the amount of cash Replenish may receive, and a decline in the 20-day VWAP will not increase the number of units issued to Sorbie. Conversely, Replenish may receive less than the full amount should the 20-day VWAP stay below the Benchmark Price.

Neil Wiens, CEO of Replenish, stated that Sorbie’s investment shows confidence in the company’s regenerative fertilizer technology and long-term growth strategy. Whitney Kofford, Managing Director of Sorbie, noted that Replenish’s regenerative fertilizer platform addresses a growing need in agriculture, supported by proprietary processes, existing production infrastructure, and a scalable licensing strategy.

Replenish Nutrients manufactures and sells fertilizer products containing essential macro and micro nutrients and biological material, utilizing a zero-waste manufacturing process.
