The company plans to issue up to 10,000,000 units at a price of C$0.05 per unit, for gross proceeds of up to C$500,000.
Each unit will consist of one common share of the company and one-half of one common share purchase warrant. Each warrant will allow the holder to purchase one-half common share of the company at a price of C$0.15 for 36 months after the offering’s closing date.
If, after four months and a day after the closing date, the volume weighted average price of the common shares on the CSE equals or exceeds $0.30 for 10 consecutive trading days, the corporation may accelerate the expiry date of the warrants to 30 days following written notice to warrant holders.
The financing will help QScreen AI advance structured pilot discussions and operational integration planning with organizations, building on momentum from Canadian Trade Mission engagements in Mexico. Proceeds will also support working capital needs for scaling commercialization efforts across healthcare, industrial, and technology sectors.
