ProStar Holdings (TSXV:MAPS) Announces Private Placement of Convertible Debentures

GRAND JUNCTION, Colo. — January 16, 2026 — Leads & Copy — ProStar Holdings Inc. (TSXV: MAPS) (OTCQX: MAPPF) (FSE: 5D00) plans to complete a non-brokered private placement with a company director, offering secured convertible debentures up to US$500,000.

The offering is subject to TSXV approval and other regulatory requirements. Securities issued will have a four-month hold period under Canadian securities laws.

Each convertible debenture will have a 12.5% interest rate and mature in 24 months. The principal amount can be converted into company units at US$0.10 per unit before the maturity date.

Each unit includes one common share and one-half of a common share purchase warrant. A full warrant allows the holder to buy one common share at US$0.14 for five years from the offering’s closing date.

The principal amount of the convertible debenture will automatically convert into units at the conversion price upon either the company reaching US$2,000,000 in booked Annual Recurring Revenue (ARR) in 2026, or reaching US$2,500,000 in booked ARR in 2027, subject to regulatory approvals.

ProStar has the option to settle accrued interest in cash or through issuing common shares upon voluntary conversion, maturity, or a trigger event. If the company chooses to issue common shares, it will apply to the TSX Venture Exchange to settle the interest at a conversion rate equal to the lower of the Discounted Market Price and the Conversion Price of the Common Shares on the last trading day before the conversion announcement. Any common share issuance for interest conversion is subject to TSXV approval.

The convertible debentures will be secured by a first-ranking security interest over all present and after-acquired property and assets of the company. Net proceeds will be used for general corporate purposes.

A company director plans to take up the full offering amount, which is a related party transaction under Multilateral Instrument 61-101. The company intends to use exemptions from formal valuation and minority shareholder approval requirements.
