Probe Gold Inc. shareholders have approved the plan of arrangement for Fresnillo plc, Prestadora de Servicios Jarillas, S.A. de C.V. and Fresnillo Quebec Acquisition Inc. to acquire all outstanding shares of the company.
The approval came via special resolution during a meeting held on January 13, 2026, where shareholders voted in favor of the arrangement, according to a press release.
The arrangement will see the Purchaser acquire all issued and outstanding shares in the capital of Probe Gold Inc. for a cash consideration of $3.65 per share.
The Arrangement Resolution needed approval from at least 66⅔% of votes cast by shareholders present or represented by proxy at the meeting. It also required a simple majority of votes cast by shareholders present or represented by proxy at the Meeting, excluding shares held by certain directors and senior officers of the company.
Of the total shares voted at the meeting, which amounted to 140,801,231, a significant 124,785,713 shares voted in favor of the Arrangement Resolution, representing 88.63% of the total.
When considering only the minority shares voted, out of a total of 133,909,592, the votes in favor of the Arrangement Resolution numbered 117,894,074, accounting for 88.04%.

Probe Gold Inc. anticipates seeking a final order of approval from the Ontario Superior Court of Justice (Commercial List) on January 19, 2026.
The arrangement’s completion is subject to customary closing conditions, including court approval and is expected to occur around January 21, 2026, pending satisfaction or waiver of the final outstanding conditions.
