TORONTO, Ontario — September 4, 2026 — Leads & Copy — Premium Income Corporation announced Friday it has established an at-the-market equity program allowing the Fund to issue shares to the public from time to time until October 2, 2028, unless terminated earlier by the Fund. Any Class A Shares or Preferred Shares sold under the program will be offered through the Toronto Stock Exchange (TSX) or any other Canadian marketplace where they are listed, quoted, or traded, at the prevailing market price at the time of sale.
Sales will be conducted under an equity distribution agreement dated September 3, 2026, with National Bank Financial Inc. acting as the Agent. These sales are defined as “at-the-market distributions” under National Instrument 44-102 Shelf Distributions. The offering is made through a prospectus supplement dated September 3, 2026, to the Fund’s short form base shelf prospectus also dated September 3, 2026. The maximum gross proceeds anticipated from the share issuance are $250,000,000.
The volume and timing of distributions under the program will be determined at the Fund’s discretion. Proceeds are intended to be used in accordance with the Fund’s investment objectives, strategies, and subject to its investment restrictions. This new ATM Program replaces a previous one established in August 2024.
The Fund’s investment portfolio primarily consists of direct and/or indirect investments in common shares of Bank of Montreal, The Bank of Nova Scotia, Canadian Imperial Bank of Commerce, National Bank of Canada, Royal Bank of Canada, and The Toronto-Dominion Bank. Additionally, the Fund may invest up to 10% of its net asset value in other securities, including equity and fixed income securities, preferred shares, and investment funds offering exposure to such securities. This may include investment funds managed by Mulvihill Capital Management Inc., the Fund’s manager.
Copies of the prospectus supplement and the short form base shelf prospectus are available from registered financial advisors, representatives of the Agent, and on SEDAR+ at www.sedarplus.com. Investors are advised to read these documents before making an investment decision.
