Toronto, Canada — February 24, 2026 — Leads & Copy — Postmedia Network Canada Corp. (TSX: PNC.A, PNC.B) announced the voting results of its Annual General and Special Meeting of Shareholders, which took place in Toronto on February 24, 2026.
Shareholders approved the appointment of auditors with 100% of votes cast in favor and 0.00% against.
The election of directors also received approval. Each director listed as a nominee in the management information circular dated December 30, 2025, was elected to hold the position until the next annual meeting of shareholders.
The nominees and their respective voting results are as follows:
Peter Sharpe: 99.46% for, 0.54% against.
Janet Ecker: 99.98% for, 0.02% against.
Wendy Henkelman: 99.98% for, 0.02% against.
Mary Junck: 90.58% for, 9.42% against.
Jason Kenney: 99.98% for, 0.02% against.
Andrew MacLeod: 100.00% for, 0.00% against.
Terrie O’Leary: 99.98% for, 0.02% against.
The Shareholder Rights Plan Continuance, Amendment & Restatement was approved by all shareholders with 90.56% of votes cast for and 9.44% against.
Excluding votes cast by a Control Person (as defined in the Circular) and associates, affiliates, and insiders of a Control Person, 72.28% of votes were cast for and 27.72% against. These results exclude 62,331,849 variable voting shares held by Chatham Asset Management, LLC and certain investment funds or accounts for which Chatham LLC or its affiliates acts as investment advisor, sub-advisor or manager (“Chatham”).
All Independent Shareholders also approved the plan with 90.56% of votes cast for and 9.44% against.
