Pinnacle Silver and Gold (TSXV:PINN) Amends Payment Terms for Potrero Project

VANCOUVER, BRITISH COLUMBIA — February 23, 2026 — Leads & Copy — Pinnacle Silver and Gold Corp. has amended its agreement with the vendor of the Potrero Project in Durango, Mexico. The original payment of US$750,000, due on February 21, 2026, will now be split into three equal portions.

The new payment schedule includes payments of US$250,000 on February 24, May 24, and August 24, 2026. All other cash payments and share issuances remain the same, according to the company.

Robert Archer, President and CEO of Pinnacle, said the company is appreciative of the opportunity to spread out the payments, as it will allow for better budgeting of direct project costs and place more emphasis on advancing the project. With recently completed financing, the company is continuing its fast-track approach to production at El Potrero with the upcoming underground drilling program, Archer added.

El Potrero is located in the Sierra Madre Occidental of western Mexico, within 35 kilometers of four operating mines, including the Ciénega Mine (4,000 tpd), the Tahuehueto Mine (1,000 tpd), and the Topia Mine (250 tpd).

The property features high-grade gold-silver mineralization in a low sulphidation epithermal breccia vein system hosted within andesites of the Lower Volcanic Series. It has three historic mines along a 500-meter strike length. The property has been privately held for almost 40 years and has not been systematically explored using modern methods, leaving significant exploration potential, according to the company.

A previously operational 100 tpd plant on site can be refurbished or rebuilt and historic underground mine workings rehabilitated at relatively low cost to achieve near-term production once permits are in place. The property is road accessible, with a power line within three kilometers.

Pinnacle will earn an initial 50% interest immediately upon commencing production. The goal is to generate sufficient cash flow to further develop the project and increase the company’s ownership to 100%, subject to a 2% NSR. The company believes this approach would be less dilutive for shareholders than relying on the equity markets to finance growth.

Pinnacle Silver and Gold is focused on developing precious metals projects in the Americas. The Potrero gold-silver project in Mexico’s Sierra Madre Belt hosts an underexplored low-sulphidation epithermal vein system, providing potential for near-term production. In the Red Lake District of northwestern Ontario, the company owns a 100% interest in the past-producing Argosy Gold Mine and the adjacent North Birch Project.
