DALLAS — February 22, 2026 — Leads & Copy — Petro-Victory Energy Corp. (TSXV: VRY) plans to amend the exercise price and period for common share purchase warrants and has completed a US$300,000 borrowing transaction.
The company intends to amend the terms for 1,205,350 common share purchase warrants issued on February 27, 2024, and 1,851,960 warrants issued on March 28, 2023. The warrants are currently exercisable at CAD $4.00 per common share.
The warrants were issued through two private placements of units at CAD $3.00 per unit. The February warrants are set to expire on February 27, 2026, and the March warrants on March 28, 2026. Petro-Victory proposes amending the exercise price for all warrants to $0.60.
The expiry date for the February warrants would be amended to March 29, 2026, and the March warrants to April 27, 2026, which is 30 days from the current expiry dates. The company said this is to incentivize warrant holders to exercise them. All other warrant terms and conditions remain unchanged. The warrant amendments are subject to acceptance by the TSX Venture Exchange.
Petro-Victory also announced the completion of a borrowing transaction totaling US$300,000 with 579 Max, Ltd. The loan carries a 14% annual interest rate and matures on February 12, 2027. The lender has been granted 691,780 bonus warrants with an exercise price of C$0.59 per share and an expiry date of February 12, 2027. The loan and warrant issuance are subject to TSXV acceptance.
The loan and warrant issuance each constitute a related party transaction under Multilateral Instrument 61-101, as T. Lynn Bryant, a Petro-Victory director and related party, is a principal of the lender. The company relied on exemptions from formal valuation and minority shareholder approval requirements of MI 61-101.
