Oroco Resource Corp. (TSXV:OCO) Closes C$23 Million Bought Deal Offering

Vancouver, British Columbia — January 14, 2026 — Leads & Copy — Oroco Resource Corp. has finalized its previously announced bought deal public offering, raising approximately C$23 million through the sale of 60,526,340 units at C$0.38 each. The offering included the full exercise of the over-allotment option.

Each unit comprises one common share of Oroco and one-half of a common share purchase warrant. These warrants allow holders to purchase an additional common share at C$0.53 until January 15, 2029. The warrants are governed by a warrant indenture between Oroco and Computer Trust Company of Canada.

Pending final approval from the TSX Venture Exchange (TSXV), the warrants are expected to commence trading on the TSXV under the ticker symbol “OCO.WT” on January 15, 2026. Fractional common shares will not be issued upon warrant exercise; holders will be rounded down to the nearest whole number of shares.

Canaccord Genuity Corp. led the offering as the lead underwriter and sole bookrunner, with Red Cloud Securities Inc. also acting as an underwriter. Oroco paid the underwriters a cash commission of 6.0% of the gross proceeds, with a reduced 3.0% commission on sales to purchasers on a “President’s List.”

The offering was conducted via a prospectus supplement to the company’s short form base shelf prospectus, filed in all Canadian provinces except Québec. Units were also offered in the United States to qualified institutional buyers and accredited investors, as well as in certain offshore jurisdictions, in compliance with applicable securities laws.

Oroco intends to allocate the net proceeds to fund Pre-Feasibility Study drilling at the Santo Tomás copper project, advance environmental and permitting work, and for general corporate purposes.

Offering documents are available on SEDAR+.
