Northisle Copper and Gold Announces $100 Million Brokered Offering (TSXV:NCX)

[City, State/Province] — February 26, 2026 — Leads & Copy — Northisle Copper and Gold Inc. (TSXV: NCX) has announced a brokered public offering to raise up to approximately $100,000,350. The offering involves up to 32,787,000 common shares priced at $3.05 each.

Paradigm Capital Inc. is the lead agent and sole bookrunner, representing a syndicate of agents for the “best efforts” offering.

The company has granted the agents an option to sell up to 4,919,000 additional common shares at the same issue price, potentially generating an additional $15,002,950. This option is exercisable up to 48 hours before the closing date. The term “Brokered Offering” includes the additional common shares that may be issued on the exercise of the Agents’ Option, if any.

The offering is expected to include participation from new and existing institutional investors, as well as current cornerstone shareholders.

Northisle intends to use the net proceeds from the offerings to advance the company’s projects and for general corporate and working capital purposes.

The closing is anticipated to occur around March 6, 2026, subject to regulatory approvals, including the TSX Venture Exchange, and other standard closing conditions.

The common shares will be offered in all Canadian provinces and territories, excluding Quebec, via a prospectus supplement to the company’s short form base shelf prospectus dated February 25, 2026. Access to these documents is available through SEDAR+ at www.sedarplus.com within two business days. The shares may also be sold outside of Canada and in the United States through private placements, compliant with applicable laws and exemptions.
