North Peak Resources (TSXV:NPR) Announces Private Placement

Calgary, Alberta — February 17, 2026 — Leads & Copy — North Peak Resources Ltd. (TSXV: NPR) (OTCQB: NPRLF) has announced its intention to conduct a non-brokered private placement to raise a minimum of C$3.0 million and a maximum of C$5.0 million.

The company plans to offer a minimum of 3.0 million equity units and a maximum of 5.0 million units at a price of C$1.00 per unit.

Each unit will consist of one common share and one-half of one common share purchase warrant. A whole warrant will allow the holder to acquire one common share for 12 months from the warrant’s issuance date at an exercise price of C$1.50 per share.

The warrants are subject to an acceleration clause. If the common shares trade at or above a volume-weighted average price of C$2.00 for 20 consecutive trading days, North Peak can accelerate the warrant’s expiry date to 30 days from the acceleration notice, which will be provided via a company press release.

North Peak intends to use the proceeds from the private placement to continue drilling at its Prospect Mountain property, develop its business, and for general and administrative expenses.

The Prospect Mountain Mine complex is located in the Battle Mountain Eureka trend, within the Southern Eureka Gold Belt. Three mineralization styles have been identified: gold, silver Carlin style mineralization, Carbonate Replacement gold, silver, lead, zinc mineralization (CRD) and carbonate hosted Porphyry Related Skarn lead, zinc and gold mineralization associated with cretaceous intrusions. The CRD mineralization is heavily oxidized to depths of at least 610m (2,000ft) below the top of the ridge line.

A Plan of Operations is in place which covers part of the Property and entitles an operator to pursue surface exploration (totaling 189 acres), underground mining of up to 365,000 tons per annum and certain infrastructural works.

The private placement is subject to the approval of the TSX Venture Exchange. Securities issued will be subject to a four-month hold period, following securities laws.

North Peak may pay a commission or finder’s fee to eligible parties involved in the private placement, pending Exchange approval and compliance with securities laws.
