Nine Mile Metals (CSE:NINE) Upsizes Financing Offering to $6.2 Million

Toronto, Ontario — January 13, 2026 — Leads & Copy — Nine Mile Metals Ltd. has increased its financing exemption offering to $6.2 million due to strong investor demand. The offering was previously announced on January 5, 2026, with gross proceeds of up to $4 million.

Each unit includes one common share of the company and one common share purchase warrant. Each warrant can be exercised into one common share at $0.30 for two years, subject to acceleration provisions.

The units will be offered for sale to purchasers in all provinces of Canada, except Quebec, and/or other qualifying jurisdictions. This is in compliance with regulatory requirements and National Instrument 45-106 – Prospectus Exemptions (“NI 45-106”). The offering is made under the listed issuer financing exemption under Part 5A of NI 45-106, as amended by Coordinated Blanket Order 45-935.

Units issued to Canadian resident subscribers under the Listed Issuer Financing Exemption, along with the underlying common shares and warrants, will not be subject to a hold period under applicable Canadian securities laws.

The closing date is expected to be on or about January 19, 2026, but could be another date determined by the Company. The closing is subject to necessary regulatory and other approvals.

The company may pay finder’s fees that include cash equal to 8% of the gross proceeds from the offering. They may also issue finder warrants equal to 8% of the number of units issued under the offering. Each finder’s warrant can be exercised for one additional unit at $0.19 for two years. Each finder’s warrant is comprised of one common share and one warrant. Each warrant allows the holder to acquire one common share at $0.30 for two years. The finder’s warrants will be subject to a statutory hold period in Canada of four months and one day after issuance.

If the daily volume-weighted average trading price of common shares on the CSE equals or exceeds $0.50 at the close of any trading day for ten consecutive trading days after the closing date, the company may accelerate the warrant expiry date. This will be done by providing at least 30 days’ notice to warrant holders via press release.

Nine Mile intends to use the offering proceeds for exploration activities and related expenses on its critical minerals projects in the Bathurst Mining Camp. Proceeds will also be used for general and administrative obligations.

The Company has filed an amended and restated offering document related to the Offering and the use by the Company of the Listed Issuer Financing Exemption under the Company’s profile on SEDAR+ and has also made it available on the Company’s website.
