TORONTO, ON — January 16, 2026 — Leads & Copy — NEO Battery Materials Ltd. (TSXV: NBM) (OTC: NBMFF), a developer of low-cost, silicon-enhanced batteries, announced a non-brokered private placement to raise up to $7 million CAD.
The offering involves approximately 11,666,667 units priced at $0.60 CAD each. Each unit includes one common share of the company and one non-transferable common share purchase warrant. The warrants allow the holder to acquire one common share at $0.85 CAD for 36 months following the offering’s closing date.
NEO Battery Materials may compensate eligible finders with a cash commission of up to 6% of the gross proceeds and issue finder’s options of up to 6% of the total number of units issued.
The company plans to use the net proceeds to install additional battery manufacturing equipment, including formation and cylindrical/prismatic cell assembly, at its Gimje battery factory and expansion site. Funds will also be allocated for general working capital purposes.
The units are being offered to purchasers outside of Canada under an exemption from prospectus requirements, according to Section 2.3 of Ontario Securities Commission Rule 72-503. Securities issued under OSC 72-503 will not be subject to resale restrictions. The offering is not a Related Party Transaction as defined by Multilateral Instrument 61-101 and is therefore not subject to TSXV Policy 5.9. The offering remains subject to final acceptance by the TSXV.
NEO Battery Materials focuses on developing and producing silicon-enhanced lithium-ion batteries for applications in drones, unmanned aerial vehicles (UAV), robotics, unmanned systems, electronics, electric vehicles, and AI data centers.
