Nano One (TSX:NANO) Completes C$6.96 Million Offering

Vancouver, British Columbia — December 10, 2025 — Leads & Copy — Nano One Materials Corp. has completed its previously announced overnight marketed underwritten offering, raising gross proceeds of C$6,958,700.

The offering included 4,970,500 units, including 320,500 units issued through partial exercise of the over-allotment option, priced at C$1.40 per unit.

Each unit comprises one common share of Nano One and one-half of a common share purchase warrant. Each whole warrant allows the holder to acquire one common share of the company upon payment of C$1.75 until December 10, 2027, subject to certain adjustments.

Canaccord Genuity Corp. served as the lead underwriter and sole bookrunner for the offering, representing a syndicate of underwriters that included Roth Canada, Inc. and Cormark Securities Inc.

The company plans to allocate the net proceeds from the offering to research and business development, expansion of its Candiac facility, working capital, and general corporate purposes.

Under the underwriting agreement, Nano One paid the underwriters a cash fee of 6.0% of the offering’s gross proceeds. A reduced fee of 3.0% was applied to units sold to purchasers designated by the company on the President’s List. The underwriters also received compensation warrants equal to 6.0% of the units sold, with a reduced number of compensation warrants equal to 3.0% of the units sold to purchasers on the President’s List. Details regarding the characteristics of the compensation warrants are available in the prospectus supplement.

The units were offered in all provinces of Canada except Québec, under a short form prospectus supplement dated December 8, 2025, related to the base shelf prospectus dated April 26, 2024. The units were also offered in the United States via a private placement basis through a confidential offering memorandum, compliant with exemptions from the U.S. Securities Act of 1933.

The company granted the underwriters an over-allotment option, exercisable at their discretion, with details in the prospectus supplement. Any securities issued through the over-allotment will be covered by the prospectus supplement and included in the offering.

The common shares issued in the offering have been listed on the Toronto Stock Exchange.

Nano One is a technology company focused on developing cathode active materials for lithium-ion batteries, targeting applications such as energy storage systems, portable electronics, and electric vehicles. Its patented One-Pot process aims to reduce costs, improve permitting, lower energy intensity and environmental impact, and reduce reliance on problematic supply chains. The company’s initiatives are supported by funding from the Canadian federal government, the U.S. government, and the governments of Québec and British Columbia. Strategic collaborations with companies such as Sumitomo Metal Mining, Rio Tinto, and Worley are focused on licensing growth strategy.

Pilot production is underway in Candiac, Quebec, leveraging existing infrastructure and LFP manufacturing experience.
