Moon River Moly (TSXV:MOO) Announces Private Placement Offering

TORONTO, ON — February 11, 2026 — Leads & Copy —

Moon River Moly Ltd. (TSXV: MOO) (OTCQB: MRIVF) has announced an agreement with Canaccord Genuity Corp. for a private placement offering to raise up to $9 million. The company will use the proceeds to advance its molybdenum-copper-tungsten project and the Endako Mine, both located in British Columbia.

The “best efforts” private placement will consist of up to 10,588,235 units of the company at a price of $0.85 per unit. Moon River has granted the agents an option to sell up to an additional 15% of the units, exercisable up to 48 hours before the closing date. The offering is subject to raising minimum gross proceeds of $2.8 million.

Each unit includes one common share of the company and one-half of one common share purchase warrant. Each whole warrant allows the holder to acquire one common share at $1.15 per share for 24 months from the closing date. The warrants cannot be exercised for the first 60 days after the closing date.

The units will be offered under the “listed issuer financing exemption” in Canada (excluding Québec) and in offshore jurisdictions, adhering to applicable laws. Securities issued under the LIFE Exemption will not be subject to a statutory hold period in Canada.

The offering is expected to close around February 26, 2026, subject to regulatory approvals, including the approval of the TSX Venture Exchange. Prospective investors can access the offering document on SEDAR+ and the company’s website.

Moon River intends to use the net proceeds to commence baseline environmental studies and further engineering studies to advance its Davidson molybdenum-copper-tungsten project near Smithers, British Columbia, and to continue studies to advance the Endako Mine in central British Columbia. Funds will also be used for general working capital and corporate purposes, as detailed in the offering document.

The company has agreed to pay the agents a cash commission of 7.0% of the gross proceeds and issue broker warrants equal to 7.0% of the number of units issued under the offering. Each broker warrant allows the holder to acquire one unit at the offering price for 24 months from the closing date.

The securities offered have not been and will not be registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States or to U.S. persons absent registration or an applicable exemption.

Moon River is a Canadian resource company focused on acquiring, exploring, and developing mineral projects. It is focused on developing the Davidson Property, which hosts a large molybdenum-tungsten deposit near Smithers, British Columbia, and holds 25% of the Endako Mine Complex, one of the largest molybdenum mines in North America.
