Miivo Holdings Corp. is set to raise up to $3,750,000 through a non-brokered private placement financing. The company aims to sell up to 7,500,000 units at $0.50 each.
Each unit will include one common share and one-half of a share purchase warrant. Each whole warrant allows the holder to buy an additional share at $0.75 for 18 months from the issuance date. Miivo has the option to sell an additional 500,000 units, potentially increasing the total raise to $4,000,000.
The company plans to allocate the funds towards marketing its AI CFO platform in more countries and for general working capital.
According to Miivo’s Chief Executive Officer Alexander Damouni, beta testing of the AI CFO platform in the United Arab Emirates and India yielded “tremendous feedback”, driving product evolution. Following the beta phase, Miivo launched a “freemium” package alongside basic and advanced paid subscription options. Since launching in November, the company reports over 1,000 users have signed up with minimal marketing spend. The company plans to use a majority of the proceeds to aggressively enter the multi-billion dollar small and medium sized enterprises (“SMEs”) market in North America.
Miivo’s Chief Financial Officer, Rabih Brair, noted that the company has updated its website and investor presentation.
The offering is contingent on approvals, including that of the TSX Venture Exchange. The company may pay finder’s fees or commissions in compliance with exchange policies and securities legislation. All common shares and warrants issued will have a hold period of four months and one day from issuance.
Insider participation in the offering will be considered a related party transaction under Multilateral Instrument 61-101 but is expected to be exempt from formal valuation and minority shareholder approval requirements. Miivo Holdings Corp. is focused on providing financial intelligence to SMEs through its AI-driven platform, enabling them to optimize operations and improve financial performance.
