Toronto, Ontario — February 27, 2026 — Leads & Copy — MedX Health Corp. has announced the initial closing of a non-brokered private placement totaling $2,700,000, surpassing the minimum subscription. The private placement, detailed in a previous release dated February 2, 2026, aims to raise up to $5,000,000 through the issuance of up to 100 Convertible Loan Notes, known as “Series IV Notes,” to accredited investors.
The Series IV Notes carry a 6% annual interest rate, payable quarterly, and will mature on December 31, 2028. Holders have the option to convert these notes into units priced at $0.10 per unit at any point before the maturity date. Each unit includes one common share and one-half of a share purchase warrant. A whole share purchase warrant allows the holder to buy an additional common share at $0.125, which can be exercised until the maturity date.
The closing of the remaining placement balance is contingent upon receiving subscriptions and meeting other conditions, including regulatory and stock exchange approvals. Holders of Series I Convertible Loan Notes can subscribe for Series IV Notes by surrendering their Series I Notes.
Certain insiders are expected to participate in the placement, relying on exemptions from formal valuation and minority shareholder approval requirements outlined in Multilateral Instrument 61-101. Qualified agents will receive a cash commission of 6% of the gross proceeds from unit sales to subscribers they introduce, along with agent’s warrants equal to 6% of these subscriptions.
Each non-transferable agent’s warrant enables the holder to acquire a unit at CAD$0.10, comprising one common share and one-half of a non-transferable agent’s share purchase warrant. Each whole agent’s share purchase warrant allows the holder to buy one additional common share at CAD$0.125. Agent’s warrants and agent’s share purchase warrants, if unexercised, will expire on the maturity date.
The funds from this placement will be used to redeem any Series I Notes not surrendered for Series IV Notes, continue developing the company’s SIAscopy® on DermSecure® telemedicine platform, expand the technology into the occupational health marketplace, and for general corporate purposes.
