McLaren Resources (CSE:MCL) Closes $150,995 Private Placement

Toronto, Ontario — January 7, 2026 — Leads & Copy — McLaren Resources Inc. has announced the closing of a non-brokered private placement financing, raising $150,995 through the issuance of 2,323,000 Flow-Through Units.

The company has also granted options to buy 2,200,000 common shares to officers, directors, and consultants, and issued 2,540,000 common shares for services rendered.

Each Flow-Through Unit was priced at $0.065 and includes one common share issued on a flow-through basis, as well as one-half of a common share purchase warrant. Each whole warrant allows the holder to purchase one common share at a price of $0.10 for a period of 24 months from the date of issuance.

The granted options are exercisable at $0.10 per share. Of these, 500,000 options have a term of five years, while 1,700,000 options have a term of three years from the issuance date.

The common shares issued for services are valued at $0.05 per share.

In connection with the financing, McLaren paid Accilent Capital Management Inc. a finder’s fee consisting of 124,000 common shares and 124,000 warrants of the Company. Following these transactions, Accilent’s direct and indirect holding of McLaren’s voting securities has increased from 28.76% to 28.99% of shares outstanding, or from 28.31% to 28.46% on a fully diluted basis. Accilent is a principal shareholder of the Company, acting as a finder and as a subscriber of Flow-Through Units through its affiliate Pavilion Flow-Through L.P.

McLaren intends to allocate the gross proceeds from the financing to exploration activities on its properties, which are situated in the Timmins Gold Region of Northeastern Ontario, Canada. This region has produced over 70 million ounces of gold to date.

McLaren Resources Inc. is focused on exploration work on its gold properties in the Timmins Gold Region of Northeastern Ontario. The company holds a 100% interest in the Blue Quartz Gold Mine property (640 ha), the McCool gold property (1,770 ha) and the Kerrs gold property (775 ha). These properties are located approximately 80 km east of Timmins city centre and are near the Destor-Porcupine Deformation Zone, which hosts numerous gold deposits within the Abitibi Greenstone Belt.
