Toronto, Ontario — January 6, 2026 — Leads & Copy — McEwen Inc. (NYSE: MUX) (TSX: MUX) and Canadian Gold Corp. (TSXV: CGC) have announced the completion of their business combination via a statutory plan of arrangement.
Canadian Gold shareholders approved the arrangement on December 5, 2025, and the British Columbia Supreme Court issued a final order approving it on December 10, 2025. The arrangement became effective at 8:00 a.m. Vancouver time on January 5, 2026, under the Business Corporations Act (British Columbia).
Under the arrangement, each Canadian Gold shareholder will receive 0.0225 McEwen shares for each Canadian Gold share held. Canadian Gold’s shares are expected to be delisted from the TSX Venture Exchange by the close of market on January 7, 2026. Canadian Gold will also apply to cease being a reporting issuer under Canadian securities laws.
Rob McEwen, Chairman and Chief Owner, welcomed Canadian Gold shareholders and highlighted the exploration and development potential of the Tartan project. Immediate priorities include accelerating exploration, initiating mine plan engineering, and advancing production permitting to restart the mine. An updated resource estimate is expected by the end of February.
McEwen and Canadian Gold also entered an amending agreement to address New York Stock Exchange requirements. Under this agreement, Rob McEwen will receive subscription receipts of McEwen, instead of McEwen shares, for his Canadian Gold shares. These subscription receipts will convert into McEwen shares upon shareholder approval at McEwen’s next annual meeting. If approval is not obtained, McEwen will provide cash consideration.
The amendment applies only to Mr. McEwen and does not affect the consideration for other Canadian Gold shareholders.
Registered Canadian Gold shareholders must deposit their share certificates or DRS advice(s) with a completed Letter of Transmittal to receive their McEwen shares, as detailed in Canadian Gold’s information circular dated October 30, 2025, available on www.sedarplus.ca. Shareholders owning shares through a broker should contact their broker for information.
McEwen provides shareholders with exposure to gold and silver production and a copper development project in the Americas. Mines are located in Nevada, USA; Ontario, Canada; and Santa Cruz province, Argentina. McEwen is also reactivating its El Gallo gold and silver mine in Mexico.
