MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has announced the closing of a $5 million (CDN) non-brokered private placement with Big Energy Joint Stock Company, marking the first major investment by a Vietnam-based company in Saskatchewan. This investment is part of a strategic partnership between MAX Power and Bitexco to accelerate the discovery and commercial development of Natural Hydrogen in Saskatchewan, utilizing Canada’s largest permitted land package of 1.3 million acres.

The private placement involves the issuance of 16,666,666 units to Big Energy at CDN $0.30 per unit. Each unit includes one common share and one-half of a non-transferable common share purchase warrant. A whole warrant allows Big Energy to acquire one share at $0.45 per share for 24 months, subject to an acceleration provision. Securities issued are subject to a statutory hold period of four months plus a day.

Under the acceleration provision, if the company’s common shares reach $0.60 or higher for 10 consecutive trading days, the warrant exercise period may be reduced to 60 days at the company’s discretion via a press release within 7 days. Warrants not exercised within this 60-day period will expire.

As part of the agreement, Big Energy gains the right to participate in future company financings on a pro rata basis and may nominate board members based on share ownership.

Dr. Phung Khac Hoan, General Director of Big Energy, will join the MAX Power Board of Directors, pending exchange approval. With experience in the energy sector, Dr. Phung’s geological insight and production expertise will be valuable to MAX Power as it advances its drilling program and works toward the commercialization of Natural Hydrogen.

The company intends to use the offering’s net proceeds for exploration and drilling of its Natural Hydrogen properties in Saskatchewan, as well as for working capital and general corporate purposes. The company has received all necessary corporate, regulatory, and shareholder approvals, including approval from the Canadian Securities Exchange.

MAX Power CEO Ran Narayanasamy stated that this partnership and investment strategically positions MAX Power to achieve its objectives. He welcomed Big Energy, an affiliate of Bitexco, as a major new shareholder. He also noted that MAX Power’s Natural Hydrogen Project is Big Energy’s first investment in Canada.

Canada’s Ambassador to Vietnam, Jim Nickel, said that this partnership reflects increased collaboration between Canada and Vietnam, benefiting both countries in trade, investment, and other initiatives. He added that this partnership is driving the emergence of an entirely new sector in Saskatchewan: Natural Hydrogen.

Bitexco, celebrating its 40th anniversary, operates in real estate, hydropower, construction, infrastructure development, finance, mining, and energy.
