Lisbon, Portugal — February 11, 2026 — Leads & Copy — Lithium Africa Corp. (TSXV: LAF) has finalized its acquisition of Lithium Africa Resources Corp. (LARC), marking a “Qualifying Transaction” under TSX Venture Exchange guidelines.
The acquisition was completed through a merger involving a wholly-owned subsidiary of Lithium Africa Corp. and LARC, where all LARC securities were exchanged for post-Consolidation securities of Lithium Africa Corp. on a 1:1 basis. The company issued 18,387,927 common shares to former LARC shareholders.
Prior to the acquisition, Lombard Street Capital Corp. transitioned from Ontario to the Cayman Islands, changed its name to Lithium Africa Corp., and consolidated its share capital on a 24-to-1 basis. LARC also completed a 1-for-10 share split.
Trading of Lithium Africa Corp.’s common shares on the Exchange under the ticker symbol “LAF” is expected to begin around February 17, 2026, pending final approval of the Exchange, as a Tier 2 issuer.
Certain company securityholders have entered a Tier 2 Escrow Agreement, placing 7,243,961 common shares, 1,048,500 stock options, and 294,941 warrants in escrow. Ten percent of the escrowed securities will be released upon the Exchange’s final bulletin issuance, followed by 15% releases every 6 months thereafter.
Lithium Africa Corp. will focus on acquiring, developing, and operating mineral properties in Africa, with initial focus on LARC’s Adzope project in the Ivory Coast and the Birthday Gift project in Zimbabwe.
LARC previously completed a non-brokered subscription receipt financing, raising approximately $2,679,535. Each subscription receipt converted into one common share and one warrant of LARC, which were exchanged for post-Consolidation common shares and warrants of Lithium Africa Corp.
Finders involved in the SR Offering received a cash fee of $169,820, along with 7,500 advisory warrants and 53,150 finder’s warrants, exchanged for Finder Warrants of Lithium Africa Corp. Each Finder Warrant allows the holder to buy one common share at $2.80 until August 29, 2028.
Funds raised will support exploration and development at the Adzope and Birthday Gift projects, as well as for general working capital.
The company’s Board of Directors includes Carl James Esprey, Tyron Breytenbach, Robert Eckford, Toluwalase Seriki, and Blake Hylands. The executive management team consists of Tyron Breytenbach (CEO), Jamie Robinson (CFO and Corporate Secretary), and Benjamin Gelber (Vice-President, Exploration).
Lithium Africa Corp. has a 50/50 joint venture with GFL International Co., Ltd. (LAR-GFL JV) to advance exploration in Africa. Through this joint venture, the Company holds an indirect 50% interest in exploration assets in Ivory Coast, Guinea, Mali, and Zimbabwe.
