Liberty Defense (TSXV:SCAN) Closes $867,505 Final Tranche of Private Placement

WILMINGTON, Mass. — January 15, 2026 — Leads & Copy — Liberty Defense Holdings Ltd. has completed the second and final tranche of a non-brokered private placement, raising approximately $867,505. The offering consisted of 3,943,207 units at a price of C$0.22 per unit. This, combined with the first tranche, brings the total gross proceeds to approximately $2.61 million.

Each unit includes one common share and one common share purchase warrant. The warrant allows the holder to purchase one common share from March 17, 2026, until January 15, 2027, at an exercise price of C$0.30 per warrant share.

Liberty Defense CEO Bill Frain expressed gratitude for shareholder support, noting the company is entering a pivotal growth phase with its core technologies, HEXWAVE and High-Definition Advanced Imaging Technology (HD-AIT), now fully developed. The company anticipates generating commercial sales from both technologies in 2026, driven by rising global demand for advanced security solutions.

Management will attend the AlphaNorth Capital Event, hosted by CEM Capital Event Management, from January 16-18, 2026, at the Grand Hyatt Baha Mar in Nassau, Bahamas.

The offering was completed under the listed issuer financing exemption, meaning the securities are not subject to a hold period under Canadian securities laws. An offering document is available on www.sedarplus.ca and the company’s website.

In connection with the final tranche, the company paid cash commissions of C$49,945 to certain finders and issued 227,024 non-transferrable warrants, exercisable until January 15, 2027, to acquire one common share at an exercise price of C$0.30.

The company intends to use the proceeds to further the production of HEXWAVE technology and fulfill customer backlogs.
