Li-FT Power Ltd. has finalized its acquisition of a 50% interest in the Galinée Property in Québec from Azimut Exploration Inc. The property is immediately adjacent to the Adina lithium deposit owned by Winsome Resources Ltd., with SOQUEM Inc. holding the remaining interest in the Galinée Property.
The acquisition, initially announced in press releases dated December 15, 2025, and December 24, 2025, was completed under the terms of an agreement with Azimut Exploration Inc. LIFT acquired all of Azimut’s rights, title, and interest in the Galinée Property in exchange for 2,000,000 common shares of LIFT and a 1.4% net smelter return royalty (NSR) on the Galinée Property. LIFT and SOQUEM will be responsible for the NSR in proportion to their ownership percentages of the Galinée Property.
The Azimut Agreement also includes a deferred consideration of $1,500,000, payable in cash or in common shares of LIFT, contingent upon the earlier of (i) the completion of an economic study regarding the Galinée Property, or (ii) 18 months following the closing date. Shares issued under the Azimut Agreement are subject to a statutory hold period of four months and one day, as per Canadian securities laws.
Francis MacDonald, President & CEO of LIFT, stated that the acquisition brings LIFT closer to meeting the conditions of its offer to acquire Winsome Resources. MacDonald believes that combining the Adina and Galinée properties will unlock the full potential and value of the Adina lithium deposit.
