Toronto, Ontario — January 16, 2026 — Leads & Copy — KO Gold Inc. (CSE: KOG) has announced the closing of the first tranche of its non-brokered private placement, raising gross proceeds of $1,980,475.35 through the issuance of 13,203,169 units.
Each unit, priced at $0.15, includes one common share and one common share purchase warrant. Each warrant allows the holder to acquire an additional share at an exercise price of C$0.25 for three years from the issuance date.
The second tranche of the private placement, announced on January 12, 2026, is contingent upon shareholder approval, as it would result in the issuance of securities exceeding 100% of the company’s outstanding common shares on a fully diluted basis.
KO Gold is securing the required shareholder approval via written consent from shareholders holding a majority of the company’s outstanding common shares, as permitted by Canadian Securities Exchange policies. The company will provide updates on this process.
Subject to shareholder and regulatory approvals, the company anticipates closing the second tranche of the private placement, which aims to raise approximately $2,439,030 in gross proceeds upon completion of all tranches.
The company plans to allocate the net proceeds from the private placement to general working capital and to fund ongoing exploration and drilling programs within the Otago Gold District in New Zealand.
Finder’s fees totaling $28,735 in cash and 191,567 finder’s warrants were issued to qualified parties upon closing. The finder’s warrants are exercisable for one common share at C$0.25 for three years, matching the terms of the warrants issued in the first tranche.
Securities issued in the first tranche are subject to a statutory hold period expiring on May 15, 2026, in compliance with Canadian securities laws.
