Kalo Gold Corp. (TSXV:KALO) Closes $10.48 Million First Tranche of Private Placement

VANCOUVER, BC — December 23, 2025 — Leads & Copy — Kalo Gold Corp. (TSXV:KALO) has announced the closing of the first tranche of its non-brokered private placement, raising a total of $10,483,000.

The financing comprised two offerings: the Listed Issuer Financing Exemption (LIFE) offering and a concurrent offering. The LIFE Offering saw the issuance of 7,648,750 units at $0.32 per unit, generating gross proceeds of $2,447,600. The Concurrent Offering involved 25,110,625 units at the same price, resulting in gross proceeds of $8,035,400.

Each unit consists of one common share of Kalo Gold Corp. and one-half of one common share purchase warrant. Each whole warrant allows the holder to purchase one share at $0.50 for a period of 36 months from the date of issue. The warrants’ expiry date may be accelerated if the volume weighted average trading price of the shares on the TSX Venture Exchange (TSXV) exceeds $0.75 for 20 consecutive trading days. In such a case, the expiry date can be moved to 30 days following the company’s notice to warrant holders via a news release.

The LIFE Offering was conducted under the listed issuer financing exemption as per Part 5A of National Instrument 45-106. Securities acquired under this offering by Canadian residents will not be subject to a hold period, except that any warrants issued are not exercisable within 60 days. Securities from the Concurrent Offering will have a four-month hold period.

Kalo Gold intends to allocate the net proceeds from the offerings to drilling and exploration activities at the Vatu Aurum Project, as well as for working capital, marketing, and general corporate purposes.

In connection with the Offerings, the Company paid finder’s fees in the amount of $117,684 and issued 367,762 finder’s warrants. Each finder’s warrant entitles the holder to acquire one Share at an exercise price of $0.50 per share for a period of 36 months from the date of issuance, under the same terms as the Warrants issued pursuant to the Concurrent Offering.

The company may conduct additional tranches of the offerings up to the previously announced maximum amount, subject to TSXV approval and other regulatory requirements.

One company insider participated in the Concurrent Offering for approximately C$500,000. This is considered a “related party transaction” under Multilateral Instrument 61-101. The company is relying on exemptions from the formal valuation requirements and the minority shareholder approval requirements as the fair market value of the transaction does not exceed 25% of the company’s market capitalization.

The securities issued have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States or to U.S. persons without registration or an applicable exemption.

Kalo Gold Corp. is focused on epithermal gold deposits on its Vatu Aurum Project, located on Vanua Levu (North Island).
