Vancouver, British Columbia — February 10, 2026 — Leads & Copy — K2 Gold Corporation (TSXV: KTO) has finalized its offering under the listed issuer financing exemption, raising gross proceeds of CDN$25,250,000.
The LIFE Offering, previously disclosed in press releases on January 27, 2026, January 29, 2026, and February 4, 2026, involved the sale of 36,071,429 common shares at a price of CDN$0.70 per share.
K2 intends to allocate the net proceeds towards exploration activities at the Mojave and Si2 projects, as well as for general corporate purposes.
The common shares were issued under the listed issuer financing exemption, as per Part 5A of National Instrument 45-106, in all Canadian provinces and territories except Quebec.
In connection with the LIFE Offering, the company paid finder’s fees to arm’s length finders for subscriptions introduced by them. Haywood Securities Inc. received CDN$256,200, ATB Capital Markets Corp. received CDN$700,000, and Canaccord Genuity Corp. received CDN$315,000.
The LIFE Offering’s closing was contingent upon customary conditions, including regulatory approvals and acceptance by the TSX Venture Exchange. The issued common shares will not be subject to a statutory hold period under Canadian securities laws.
Following the closure of the LIFE Offering, K2 Gold Corporation has a total of 234,341,670 common shares outstanding.
K2 is led by a team that has delivered over $2.6 billion worth of gold transactions, including Great Bear Resources’ CDN$1.8 billion sale to Kinross and Kaminak Gold’s sale to Goldcorp for approximately CDN$520 million. The Mojave Project, located in California, is a 5,830-hectare oxide gold project with base metal targets. Past drilling by Newmont and BHP successfully targeted surface gold. K2 has since conducted geochemical and geophysical surveys, geologic mapping, LiDAR, a WorldView 3 alteration survey, and a 17-hole RC drill program at the Dragonfly and Newmont Zones. Drilling highlights include 6.68 g/t Au over 45.72m from surface at the Dragonfly Zone, and 1.69 g/t Au over 41.15m from 44.20m depth at the Newmont Zone.
The Si2 Project, situated in Nevada’s Walker Lane Trend, is a low-sulphidation epithermal gold system. Historical drilling tested only the upper levels, yielding anomalous gold, silver, and pathfinder elements. K2’s subsequent work, including geologic mapping, geochemistry, geophysics, and alteration mineralogy studies, has identified multiple priority structural targets at depth.
The Wels Project is located approximately 60km south of Fuerte Metals Coffee project. K2’s 2023 drilling program at Wels intersected gold in all 12 drill holes and the Wels land position consists of 350 contiguous quartz claims covering 7,200 hectares and lies within the traditional territory of White River First Nation.
