Juggernaut Exploration (TSXV:JUGR) Announces $10 Million Private Placement

TORONTO, February 27, 2026 — Leads & Copy — Juggernaut Exploration Ltd. has agreed with Stifel Canada for a “bought deal” private placement offering of 3,906,250 units at $2.56 per unit, totaling $10,000,000. The offering is expected to close around March 19, 2026, pending necessary approvals, including the TSX Venture Exchange.

Each unit includes one common share and one-half of a common share purchase warrant. Each warrant allows the holder to buy one common share at $2.08 for 24 months after the closing date. The common shares and warrants are intended to qualify as “flow-through shares” under the Income Tax Act (Canada).

Stifel Canada, the underwriter, has the option to sell additional units, up to 15% of those sold in the offering, until 48 hours before the closing date.

Proceeds from the units will fund exploration expenses that qualify as “Canadian exploration expenses,” “flow-through critical mineral mining expenditures,” and, for British Columbia residents, “BC flow-through mining expenditures.” These expenses will support the Big One Gold Project in British Columbia and will be incurred by December 31, 2027, with renouncement to subscribers by December 31, 2026.

Certain unit purchasers may donate or sell units to purchasers arranged by the underwriter on the closing date. These re-offer units may be sold in Canadian provinces (excluding Quebec), the United States (under available exemptions), and other jurisdictions without prospectus filing or similar obligations.

The units are offered to Canadian and other qualifying jurisdictions under the listed issuer financing exemption. Securities underlying the units will not be subject to a hold period under Canadian securities laws. An offering document is available on SEDAR+ and the company’s website. Investors should read the offering document before making an investment decision.

The underwriter will receive a cash commission of 6.0% of the gross proceeds and broker warrants equal to 6.0% of the units sold, including the underwriter’s option. Each broker warrant allows the holder to acquire one common share at C$1.81 for 24 months after the offering’s closing date. The cash commission will be paid from the company’s cash on hand, not from the offering’s proceeds.

The company also invites those interested in the Big One discovery to visit them at booth #3232 at the PDAC Investors Exchange South Building from Sunday, March 1st, until Wednesday, March 4th, next to Goliath Resources. The PDAC is located at the Metro Toronto Convention Centre at 255 Front Street West, Toronto.

The PDAC venue provides an opportunity for Juggernaut to showcase its new discovery at the Big One Property located in the Golden Triangle of B.C.
