Jason Schultz Files Early Warning Report Regarding Clean Seed Capital Group Ltd. (TSX-V:CSX)

Bashaw, Alberta — January 12, 2026 — Leads & Copy — Jason Schultz (the “Investor”) has announced his filing of an early warning report regarding his holdings in Clean Seed Capital Group Ltd., according to National Instrument 62-103. The report encompasses securities held by both the Investor and JDS Farms Ltd. (“JDS”), with the Investor maintaining control over JDS. Together, the Investor and JDS are referred to as the “Joint Actors.”

Clean Seed Capital Group Ltd., a reporting issuer with common shares listed on the TSX Venture Exchange, has its head office located at 2900-733 Seymour Street, Vancouver, British Columbia, V6B 0S6.

The Joint Actors have recently increased their beneficial ownership and control through the acquisition of an additional 5,500,000 common shares of the Company. These shares were obtained through two shares-for-debt agreements aimed at settling $1,000,000 of accounts payable. The details of these transactions are as follows:

According to the news release dated October 23, 2025, Clean Seed Capital Group Ltd. announced its intent to finalize a shares-for-debt transaction with JDS, which involved settling $250,000 of accounts payable through the issuance of 2,500,000 shares priced at $0.10 per share.

In a subsequent news release dated November 7, 2025, the Company declared its plans to close a shares-for-debt transaction with JDS, aimed at settling $750,000 of accounts payable through the issuance of 3,000,000 shares at a price of $0.25 per share.

Clean Seed Capital Group Ltd. announced on January 8, 2026, that it had secured disinterested shareholder approval for these transactions during its annual general meeting.

Currently, the Joint Actors possess beneficial ownership and control over a total of 21,520,355 shares and 7,121,000 warrants of the Company. These holdings constitute 18.3% of the Company’s outstanding voting shares on an undiluted basis. Should all 7,121,000 warrants held by the Joint Actors be exercised, their total holdings would amount to 28,641,355 shares, representing 23.0% of the Company’s then-outstanding voting shares.

While either of the Joint Actors may consider acquiring additional securities or selling existing holdings in the future, there are no present intentions to do so. Similarly, there are no current plans to engage in corporate transactions such as mergers, reorganizations, or liquidations involving the Company or its subsidiaries. There are also no intentions to sell or transfer material assets to the Company, cause the Company to sell or dispose of its material assets, change the board of directors or management, alter the Company’s capitalization or dividend policy, or effect material changes to the Company’s business, corporate structure, charter, bylaws, or similar instruments.

The Joint Actors also have no intentions to cause any class of securities of the Company to be delisted or cease to be authorized on a marketplace, cause the Company to cease being a reporting issuer in any jurisdiction of Canada, solicit proxies from securityholders, or undertake any similar actions.
