TORONTO, Ontario — January 13, 2026 — Leads & Copy — New Gold Inc. is encouraging shareholders to vote “FOR” the proposed arrangement with Coeur Mining, Inc., as recommended by Institutional Shareholder Services Inc. (ISS).
ISS, a proxy advisory firm, supports the plan where a Coeur subsidiary would acquire all outstanding New Gold common shares.
The recommendation comes ahead of a special meeting scheduled for Tuesday, January 27, 2026, at 11:00 a.m. (Eastern Time).
Under the arrangement, New Gold shareholders would receive 0.4959 shares of Coeur common stock for each New Gold share held. Post-transaction, Coeur shareholders would own approximately 62% and New Gold shareholders 38% of the combined entity.
ISS noted the strategic advantages of the arrangement, citing operational synergies, a stronger balance sheet, and improved liquidity for the combined company. They also noted the implied per-share consideration has increased and the valuation is credible.
Coeur Mining shareholders are also being advised by ISS to vote in favor of the Coeur proposals related to the plan of arrangement.
New Gold’s Board of Directors has also unanimously recommended shareholders vote in favor of the transaction.
The special meeting will take place in person at Davies Ward Phillips & Vineberg LLP in Toronto, and virtually via live webcast. Shareholders of record on December 17, 2025, are eligible to vote.
Meeting details and related materials are available on www.VoteNewGold.com, SEDAR+ and EDGAR.
Shareholders are urged to submit their votes before the deadline of 11:00 a.m. (Eastern Time) on Friday, January 23, 2026.
