Vancouver, British Columbia — December 17, 2025 — Leads & Copy — ImagineAR Inc. has completed a non-brokered private placement of units, according to a press release. The offering, which consisted of one tranche that closed on November 14, 2025, involved the sale of 11,667,112 units at $0.03 each, generating gross aggregate proceeds of $350,013.37.
Each unit comprised one common share of ImagineAR and one non-transferable common share purchase warrant. Each warrant allows the holder to buy one additional common share at $0.05 for 36 months from the offering’s closing.
All securities issued and issuable from the private placement will be subject to a four-month hold period, as per Canadian securities laws. The offering awaits necessary regulatory approvals, including the Canadian Securities Exchange’s approval.
ImagineAR plans to allocate the net proceeds from the private placement to general working capital, operations, legal matters, and sales and marketing efforts.
The securities have not been registered under the Securities Act of 1933 or any state securities laws and may not be offered or sold in the United States without registration or an applicable exemption.
