Grizzly Discoveries (TSXV:GZD) Announces Private Placement Offering

Edmonton, Alberta — February 27, 2026 — Leads & Copy — Grizzly Discoveries Inc. is launching a private placement offering of Units and FT Units aiming to raise up to $1 million, according to a news release.

The offering includes up to 7,142,856 Units and up to 21,428,574 of any combination of Units and FT Units. Each Unit will have one common share of the Company and one Common Share purchase warrant. This warrant allows the holder to buy an additional Common Share for $0.055, expiring either 30 days after the Company informs the warrant holder that the Common Shares’ volume-weighted average trading price on the TSX Venture Exchange is at or above CA$0.10 for 10 consecutive trading days, or 60 months from the issuance date.

Each FT Unit will include one Common Share and one half of a Common Share purchase warrant. Each whole FT Unit Warrant enables the holder to purchase another Common Share for $0.055, expiring either 30 days after the Company notifies the warrant holder that the Common Shares’ volume-weighted average trading price on the TSX Venture Exchange is at or above CA$0.10 for 10 consecutive trading days, or 36 months from the issuance date. These FT Units are issued as “flow through shares” under the Income Tax Act (Canada).

The Units and FT Units are priced at $0.035 each. The offering is available to qualified subscribers in Alberta, British Columbia, and Ontario, and potentially other jurisdictions at the Company’s discretion, following exemptions from registration and prospectus requirements under applicable securities laws.

The company plans to allocate the proceeds as follows if the offering is fully subscribed, with the maximum of 21,428,574 FT Units and 7,142,856 Units:

  • Mineral Property Exploration: $750,000
  • Mineral Rights and Exploration Permits: $50,000
  • Working capital Outstanding management fees to Officers: $12,000
  • Corporate Overhead Management fees to Officers (Est to July 31 2026): $48,000
  • Other Corporate Overhead: $140,000

The maximum proceeds are $1,000,000.

The Company may pay finders fees consisting of cash, Units, and Warrants to registered broker dealers, limited market dealers or arm’s length persons, according to the policies of the TSX Venture Exchange and relevant securities regulations. The Common Shares and any Common Shares from warrant exercises are subject to trading restrictions for four months and one day from issuance, as per Exchange policies.

The Offering is subject to the approval of the TSX Venture Exchange.
