VANCOUVER, BC — February 27, 2026 — Leads & Copy — Goldgroup Mining Inc. (TSXV:GGA)(OTCQX:GGAZF) has finalized the sale of Minera Apolo, S.A. de C.V. (Apolo), including all shares of Minera Catanava, S.A. de C.V. (MC), to a private British Columbia company. The sale, initially announced on December 31, 2025, involved a payment of US$5,000,000 to Goldgroup in stages.
According to the agreement, US$2,450,000 was paid upon signing, followed by US$550,000 at closing. The remaining US$2,000,000 is due within six months of the closing and is secured by a promissory note.
Apolo and MC collectively possess a 100% stake in the Pinos gold/silver project located in Zacatecas State, Mexico. The project comprises 30 contiguous mining concessions across 3,816 hectares. The sale was conducted at arm’s length, with no finder’s fees involved.
The purchaser has also assumed all liabilities associated with Apolo, MC, and the Pinos project. This includes US$400,000 outstanding from the original purchase agreement, along with US$1,500,000 owed to Apolo’s previous owners, triggered by the sale. Goldgroup, the purchaser, and the previous owners have entered an agreement ensuring the previous owners have no further recourse against Goldgroup for any liabilities tied to Apolo, MC, and the Pinos project, as these have been assumed by the purchaser.
In a separate announcement, Goldgroup has entered into an investing news campaign agreement (the “INN Agreement”) with Dig Media Inc. dba Investing News Network (INN).
Under the INN Agreement, INN will manage a six-month digital marketing and investor outreach campaign. This campaign includes investor lead generation, press release syndication, targeted advertising, participation in sector reports and interviews, and newsletters. The aim is to enhance the Company’s visibility among investors.
INN, which publishes investor-focused news and educational content, commenced the campaign on or before November 15, 2025, and it will continue through May 15, 2026. INN will receive C$30,000 plus GST for its services, which will adhere to TSX Venture Exchange (TSXV) policies. INN and Mike Rodger are at arm’s length to the Company and have no other relationship with the Company other than under the INN Agreement. The TSXV has accepted the INN Agreement.
Goldgroup is a Canadian-based mining Company with two gold assets in Mexico. The company has a 100% interest in the Cerro Prieto heap-leach gold mine located in the State of Sonora. An optimization and exploration program is underway at Cerro Prieto to increase existing production and resources. Final approval from the TSXV is pending for the acquisition of Molimentales del Noroeste, S.A. de C.V., the owner of the San Francisco gold mine.
